1. Acceptance of Terms

By accessing or using SmartCognizer ("the Platform"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Platform.

3. Description of Services

SmartCognizer provides a SaaS platform that allows users to:

4. Account Registration & Security

4.1 Eligibility

  • You must be at least 18 years old
  • You must provide accurate, complete registration information
  • You must have authority to bind any entity you represent

4.2 Account Security

  • You are responsible for maintaining your password/authentication security
  • You are responsible for all activities under your account
  • Notify us immediately of unauthorized access: support@smartcognizer.com

4.3 No Credential Sharing

You may not share login credentials with others. Each user must have their own account.

5. Subscriptions & Payments

5.1 Plans

We offer the following plans (prices subject to change with 30 days notice):

5.2 Payment Processing

All payments are processed via Razorpay. By subscribing, you agree to Razorpay's Terms of Service and authorize Razorpay to charge your selected payment method.

5.3 Recurring Subscriptions

  • Paid plans are billed monthly or annually (depending on your selection)
  • Your subscription automatically renews at the end of each billing cycle
  • You authorize us to charge your payment method automatically for each renewal
  • We will send a receipt/invoice after each successful charge

5.4 Cancellation

  • You can cancel your subscription anytime from your dashboard
  • Cancellation takes effect at the end of the current billing cycle
  • You will not be charged for future cycles
  • No refund for the current billing cycle except within the Refund Window (see Section 6)

5.5 Failed Payments

If your payment method fails:

  1. We will retry the charge 3 times over 5 business days
  2. If all retries fail, your subscription will be suspended
  3. You have 15 days to update payment method and reactivate
  4. After 15 days, your account will be downgraded to Free plan and data exceeding Free plan limits may be deleted

5.6 Price Changes

  • We may change subscription fees with 30 days written notice (email)
  • Price changes apply to the next billing cycle
  • If you do not agree to a price change, you may cancel before it takes effect

6. Refund Policy

6.1 2-3 Day Refund Window

If you cancel your paid subscription within 2-3 calendar days of the initial charge date:

6.2 How to Request a Refund

  1. Email support@smartcognizer.com with "Refund Request" in the subject line
  2. Include your account email and order/receipt number
  3. Specify the charge date you are disputing

6.3 Processing Timeline

  • Approved refunds are processed within 5-7 business days
  • Refunds are credited to the original payment method
  • Razorpay processing times may add additional days (up to 10 business days total)

6.4 Non-Refundable Items

  • Free plan → no payments to refund
  • Custom development or professional services (if any)
  • Charges older than 3 days from the charge date (except for recurring subscription renewals — those follow the same 2-3 day window)

6.5 No Partial Refunds

We do not provide pro-rata refunds for partial billing cycles. If you cancel mid-cycle, you retain access until the cycle ends.

7. Data Ownership & Lead Processing

7.1 Your Data

  • You own all content you upload (profile content, files, form designs)
  • You own all leads you collect through the Platform
  • SmartCognizer claims no ownership over your data

7.2 Our Rights

We own the Platform code, design, trademarks, and intellectual property. We grant you a non-exclusive, non-transferable license to use the Platform.

7.3 Lead Export

  • Export to Excel (.xlsx) is available on paid plans only
  • You may export all lead data at any time
  • Exported data is subject to your own privacy policies (we are not responsible for how you handle exported data)

7.4 Data Deletion

  • Leads are not automatically deleted after export
  • You may delete individual leads manually from your CRM
  • All leads and data are permanently deleted when you delete your account

8. Google Calendar Integration

8.1 Authorization

By connecting your Google account, you grant SmartCognizer permission to:

  • Create calendar events on your behalf (when leads book meetings)
  • Delete calendar events (when you delete bookings from your CRM)

8.2 Limitations

  • We do not read your existing calendar events
  • We do not edit events created outside SmartCognizer
  • You may revoke access at any time via Google Account Permissions

8.3 Compliance

This integration complies with the Google API Services User Data Policy. We do not transfer Google user data to third parties for advertising or any purpose beyond providing the booking feature.

9. Prohibited Use

You may NOT use SmartCognizer for:

⚠️ Violation consequences:

Immediate account suspension without refund + potential legal action.

10. Acceptable Use & Lead Compliance

You are solely responsible for:

  • Obtaining legally valid consent from your leads before collecting their data
  • Complying with all applicable laws (including Indian IT Act, consumer protection laws)
  • Providing your own privacy policy to your leads if required
  • Responding to lead requests for data access or deletion

SmartCognizer is a tool. We are not responsible for how you use collected leads.

11. Termination

11.1 By You

You can delete your account anytime from your dashboard. Deletion is permanent after 30 days (during which you can reactivate).

11.2 By Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • Your payment fails and you do not resolve it within the grace period
  • We suspect fraudulent or illegal activity
  • Required by law

11.3 Effect of Termination

  • Access to Platform ceases
  • Data is deleted as described in Section 7.4
  • No refund for unused subscription time (except within refund window)

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Example: If Google Calendar API is down and you lose a booking, we are not liable for your lost revenue.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE".

WE DO NOT WARRANT THAT:

  • The Platform will be uninterrupted, error-free, or secure
  • Any defects will be corrected
  • The Platform will meet your specific requirements

Some jurisdictions do not allow disclaimers of implied warranties. In those jurisdictions, this disclaimer applies to the maximum extent permitted.

14. Indemnification

You agree to indemnify and hold harmless SmartCognizer and its proprietor from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your use of leads (including privacy violations)
  • Your violation of any law
  • Your content or uploaded files

15. Governing Law & Dispute Resolution

Dispute Resolution Process

  1. Informal resolution: Email grievance@smartcognizer.com. We will attempt to resolve within 15 days.
  2. Arbitration (optional): If informal resolution fails, either party may refer to arbitration under the Arbitration and Conciliation Act, 1996. Arbitrator appointed by mutual consent. Venue: Delhi.
  3. Small claims: Either party may file in Delhi Small Causes Court for claims under ₹1,00,000.

You may also file a complaint with the Ministry of Electronics & IT (MeitY) under the IT Rules, 2021.

16. Force Majeure

We are not liable for delays or failures caused by:

  • Natural disasters
  • Government actions
  • Internet/telecommunications failures
  • Third-party API outages (Google, Razorpay, Hostinger)
  • Cyberattacks or DDoS

17. Changes to These Terms

  • We may update these Terms at any time
  • Material changes will be notified via email (15 days before effective date)
  • Continued use after the effective date constitutes acceptance
  • If you do not agree, you may delete your account before the effective date

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

19. Entire Agreement

These Terms constitute the entire agreement between you and SmartCognizer regarding your use of the Platform, superseding any prior agreements.
